End User License Agreement
Last updated October 19, 2026
This agreement is between you and Murat AYAZ (“we”, “us”), the developer and sole copyright holder of Celas Studio (the “Software”). By installing, copying or using the Software you accept this agreement. If you do not accept it, do not install or use the Software.
Important: sections 5, 10, 15 and 16 restrict what you may do with the Software and limit our liability. Please read them before accepting.
1. What “the Software” means
The Software is the Celas Studio application and everything delivered with it or for it: its program code, libraries we wrote, shaders, user interface and its design, icons, cursors, brushes, presets, templates, sample files, sounds, documentation, and all updates.
2. The licence we give you
We grant you a personal, non-exclusive, non-transferable, non-sublicensable licence to install and use the Software for personal and commercial work. The licence is worldwide and lasts for as long as you hold a valid entitlement from the store you obtained the Software from, unless it ends under section 10. It allows you to reproduce the Software only to the extent needed to install, load and run it; it does not include any right to adapt, distribute, perform or communicate the Software to the public. The licence is for one person. You may install the Software on the devices allowed by that store (Steam, Microsoft Store or App Store), and you may let others use it only through that store’s own sharing features (such as Steam Family Sharing) and within their limits. An organisation needs one licence for each person who uses the Software. The Software is licensed, not sold: we keep every right we do not expressly grant you here.
3. Your work is yours
You own everything you create with the Software: drawings, rigs, animations, exported images and video, and your project files. We claim no rights over your work, and you owe us no fee or share for what you make with it, including work you sell or use commercially. You may use the brushes, presets and templates supplied with the Software inside your own work without restriction.
4. Ownership of the Software
All rights in the Software, including its code, design, structure, organisation and content, belong to Murat AYAZ. The Software is protected by copyright law, in Türkiye in particular by the Law on Intellectual and Artistic Works No. 5846 (“FSEK”), and by international treaties such as the Berne Convention, the TRIPS Agreement and the WIPO Copyright Treaty. These rights extend, to the extent the law protects them, to the Software’s user interface, including its screen layouts, visual design, icons and the design of its tools and panels. The non-public elements of the Software, in particular its source code and algorithms, are also protected as our trade secrets. Nothing in this agreement transfers any of these rights to you.
5. What you may not do
Except where mandatory law expressly allows it despite this agreement, you may not do any of the following, and may not help or allow anyone else to do it. Nothing in this section limits what section 3 allows.
- copy the Software, other than installing it as section 2 allows and making a single backup copy where the law permits one;
- sell, resell, rent, lease, lend, give away, sublicense, transfer, distribute, upload, share or otherwise make the Software or any part of it available to anyone (including through file-sharing sites, torrents, cloud links, forums or “portable” or repacked builds), or run it on a server or remote desktop for others to use;
- share, publish, sell or trade a licence key, account or entitlement, or use a licence key, account or entitlement that was not issued to you;
- remove, disable, bypass or modify any licensing, activation, ownership, copy-protection, integrity or code-signing measure of the Software, or interfere with it (for example by using a crack, patch, key generator, loader or store emulator), or make, use, offer or share any tool or information for doing so;
- reverse engineer, decompile, disassemble, decrypt, unpack, dump or trace the Software, or otherwise try to obtain its source code, algorithms or internal structure. Where the law of your country gives you a right to do any of this (for example to achieve interoperability under Article 38 of FSEK), you may use that right only within its legal limits, and only after first asking us at support@celas.studio for the information you need. This does not limit your right under Article 38 of FSEK to observe, study or test the functioning of the Software while using it normally;
- modify, translate, adapt or make derivative works of the Software, or copy any of its code, shaders, icons or documentation into another product;
- reproduce the Software’s expressive elements, including its icons, cursors, graphics, screen designs and the visual arrangement of its panels and tools, in whole or in substantial part in another product or service; or use information obtained by decompiling, disassembling or otherwise reverse engineering the Software (including under item e) to develop, produce or market software whose expression is substantially similar to the Software, or for any other act that infringes our rights;
- extract the brushes, presets, templates, icons or other content supplied with the Software and distribute, sell or publish them on their own, as packs or in another product (using them inside your own work is allowed under section 3);
- use the Software, its code or its supplied content to train or develop software or machine-learning models that reproduce or imitate the Software;
- remove or change any copyright, trademark or other rights notice in the Software;
- interfere with, overload or gain unauthorised access to our servers or to any service the Software uses.
6. Licence checks and protection measures
The Software, or the store it is delivered through, uses technical measures that protect it against unauthorised copying and use. The licence may be confirmed with that store or with our servers, at installation, at start-up or from time to time, and the Software may stop working, or work with limited features, if a valid licence cannot be confirmed. These checks may send a licence or account identifier, an identifier derived from your device and the version of the Software. Any personal data involved is processed as described in our Privacy Notice at celas.studio/privacy.
7. Feedback
If you send us suggestions or feedback about the Software, we may use them freely and without any obligation to you, and you acquire no right in the Software or in its future versions because of them.
8. Non-public builds
If we give you access to a non-public build of the Software (for example a password-protected beta branch or a test key), you must keep its unreleased features, screenshots and recordings confidential until we release them publicly, unless we allow otherwise in writing.
9. Trademarks
Celas™, Celas Studio™, Fruzai™ and their logos are trademarks of Murat AYAZ. This agreement grants you no right to use them, except to state truthfully that a work was made with Celas Studio.
10. Breach and termination
This licence ends automatically, without notice, if you breach item b, c, d, e or g of section 5. If you breach any other term of this agreement and do not remedy the breach within 14 days after we notify you, we may terminate the licence. When the licence ends you must stop using the Software and delete every copy you hold, and we may revoke, or ask the store to revoke, the licence key or entitlement used in the breach. Your rights in the work you created remain yours. Sections 4, 5, 9, 11, 15, 16, 20 and 22, and any other term that by its nature should continue, survive the end of this licence.
11. Remedies
Unauthorised copying, distribution or circumvention seriously harms us. We may use every remedy the law provides, including actions to stop and prevent the infringement, interim measures, seizure of infringing copies and compensation. Under Article 68 of FSEK we may claim an amount of up to three times the fee we could have asked had a licence been agreed, or of the market value determined under that Law. Unauthorised reproduction or distribution of the Software, and making or distributing means to defeat its technological protection measures, are criminal offences under Articles 71 and 72 of FSEK and under the laws of other countries. Copying or imitating the Software may also be unfair competition under Articles 54 and 55 of the Turkish Commercial Code No. 6102. You are responsible for the damage you cause by breaching this agreement.
12. Early Access
The Software is distributed in Early Access. It is under active development, may contain defects, and its features may change. Keep your own backups of your work; we cannot recover lost or damaged files for you.
13. Updates
Updates are delivered through the store you obtained the Software from and are covered by this agreement, unless a newer agreement accompanies them.
14. Third-party components
The Software includes open-source components under their own licences. Their notices are listed in the Software’s About window, under Third-Party Licenses. Nothing in this agreement limits the rights those licences give you over those components.
15. No warranty
To the fullest extent permitted by law, the Software is provided “as is”, without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement of third-party rights.
16. Limitation of liability
To the fullest extent permitted by law, our total liability arising out of or relating to the Software is limited to the amount you paid for it. We are not liable for lost profits, lost data or other indirect damages. This does not limit liability that the law does not allow to be limited, such as liability for intent, gross negligence, or death or personal injury.
17. App Store terms
If you obtained the Software from Apple’s App Store: this agreement is between you and us, not Apple, and we, not Apple, are responsible for the Software, its maintenance and support, and any claims about it (including product liability, legal compliance and intellectual-property claims). If the Software fails to meet an applicable warranty, you may notify Apple, which will refund its purchase price; to the maximum extent permitted by applicable law, Apple has no other warranty obligation. You confirm that you are not in a country subject to a US Government embargo and are not on any US Government list of prohibited or restricted parties. When using the Software you must follow the usage rules of the App Store terms and any applicable third-party terms of agreement. Apple and its subsidiaries are third-party beneficiaries of this agreement and may enforce it against you.
18. Consumer rights
Nothing in this agreement limits rights you have as a consumer under the mandatory law of your country, including any refund rights offered through the store you bought from.
19. Minors
If you are under the age of majority where you live, your parent or legal guardian must accept this agreement for you.
20. Governing law and disputes
This agreement is governed by the laws of the Republic of Türkiye, and the courts and enforcement offices of Türkiye have jurisdiction. If you are a consumer, you keep the protections of the mandatory law of your country and your right to bring a claim before the courts or consumer dispute bodies where you live (in Türkiye, the consumer courts and consumer arbitration committees).
21. Changes to this agreement
We may update this agreement. An updated version applies to you only after it has been shown to you in the store or in the Software and you have accepted it. If you do not accept it, you may stop using the Software; your rights under section 18 are unaffected.
22. General
This agreement, together with our Terms of Use and Privacy Notice, is the whole agreement between us about the Software; if they conflict on the Software, this agreement prevails. If a court finds any part of this agreement invalid, the rest stays in force and the invalid part is applied to the greatest extent the law allows. If we do not enforce a term at once, we have not waived it. You may not transfer this agreement. We may transfer it, together with our rights in the Software, to any person or company, including a company we control, and it also binds and benefits our heirs. This agreement is written in English and Turkish; if they differ, the English text prevails, except for anyone resident in Türkiye, for whom the Turkish text prevails. Other translations are provided for information only.
